Welcome to the WattsWhere Mobile App.

The WattsWhere Mobile App (“WattsWhere”) is owned and operated by E A M E ELECTRIC VEHICLES CHARGING STATIONS OPERATION LLC (“Company” “we”, “us”, “our” and includes our subsidiaries or affiliates).

These terms and conditions (“Terms”) set out the basis upon which you (“users”, “you”, “your”) can access and use WattsWhere, including any content, functionality and service offered on or through WattsWhere, as set out in further detail in the Service section below (“Service”).

If you have any questions about WattsWhere then – in most cases – you will be able to find the answer in these Terms, or in the FAQ section about WattsWhere. If you cannot find an answer to your query, then please feel free to contact us at the contact details specified in the Contact section below.

1. TERMS

1.1. By accessing WattsWhere, you agree to be bound by these Terms. If you do not agree to any of the Terms, your sole recourse is to stop using WattsWhere.

1.2. The Company may amend these Terms at any time by posting an updated version of the Terms on WattsWhere. The Company encourages you to check WattsWhere regularly for any amendments to the Terms. Your continued use of WattsWhere will constitute your express consent to these Terms.

1.3. Nothing in these Terms affects your statutory rights, either as a consumer of services or otherwise.

2. SERVICE

2.1. WattsWhere provides you with the service to manage electric vehicle (EV) charging, track energy consumption, and handle billing, including payment processing using credit/debit cards. By providing your credit/debit card details, you:

a. warrant that you are the holder of the credit/debit card and are authorized to use it.

b. authorized to debit the credit/debit card for all the fees associated with your use of the car park; and

c. ensure there are sufficient clear funds/credit available in any credit/debit card to meet your payment obligation under these Terms.

2.2. If there is insufficient credit in your credit/debit card to meet your payment obligations under these Terms, or your credit/debit card is declined, you must ensure payment for charging sessions through the designated payment methods within the application. Exiting the charging station area without settling the charging fee is prohibited. We reserve the right to restrict or prevent the disconnection of a vehicle from the charging point until the fee is fully paid. 2.3. Upon payment, you have a grace period, as specified in the terms and conditions posted within the parking sinage & Mobile App , to leave the charging parking spot. If you fail to leave the charging parking spot within the aforesaid time, an idle fee will commence in respect of which an idle fee is payable.

2.4. Charging fees will be charged in accordance with the schedule of fees displayed in the car park. The Company reserves the right to change these fees from time to time.

3. PAYMENTS

3.1. WattsWhere accepts payments made online using Visa and MasterCard credit/debit card, Samsung & Apple Pay in AED (or any other agreed currency).

3.2. If you make payment using WattsWhere, the payment details will be provided directly to the Company’s third-party payment provider via a secured connection (“Payment Gateway”).

3.3. Your transaction via Payment Gateway may be cancelled at any time for any reason.

3.4. We reserve the right to refuse you of using the Service at any time for any reason. You also maintain the ability to discontinue the use of the Payment Gateway at any time for any reason. Active recurring payments must be deleted before the Service is discontinued. It is your responsibility to terminate any and all recurring payments on your account before charging

the vehicle otherwise charges will continue to be assessed to your billing account during the period designated for recurring payments to take place.

4. Credit/Debit Card Information

4.1. You agree to voluntarily provide your credit/debit card details by accessing the Payment Gateway via WATTSWHERE and you acknowledge that your credit/debit card information will be processed directly by the third-party online payment service provider.

4.2. Your credit/debit card details are managed by a third-party online payment processing provider engaged by us who provides secure online payments through WattsWhere and are used for the purpose of processing payment for EV Charging fees as set out in these Terms.

4.3. We require the third-party online payment processor to comply with online payment standards and we take reasonable steps to ensure that it will comply with UAE regulations, including for the secure processing of information.

5. USE OF WATTSWHERE

5.1. The Company tries to keep all information on WattsWhere up to date, but it may not be correct all of the time. You should independently check the information you use is correct and you use WattsWhere at your own risk. If you find any incorrect information, you can notify the Company by contacting us on the details specified in the Contact section or via the support feature in our App

5.2. You must not conduct or promote any illegal activities while using WattsWhere. This includes any activities that (in the Company’s opinion) breach copyright, infringe on privacy or infringe any third-party rights as well as activities that are defamatory to third persons. To do so may lead to prosecution.

5.3. You must not use WattsWhere to generate unsolicited emails, spam, or promotional materials to other users. You must not do anything to cause damage to WattsWhere or other users of WattsWhere, including any technical damage to the other computers. You must not send any viruses or other material designed to adversely affect the operation of WattsWhere, affect any other users of WattsWhere or affect any equipment or any data in

WattsWhere. You must not attempt to gain access to WattsWhere or the system that runs WattsWhere. You must not interfere with the security of WattsWhere, its services, system resources or network. You must not use WattsWhere in any manner that could damage, overburden, or impair WattsWhere nor harvest or otherwise collect any information about the users. You must not link to WattsWhere without seeking the Company’s prior written consent. You must not use WattsWhere on another website without seeking the Company’s prior written consent. You must not change, edit, add to, or produce summaries of its content anywhere else.

5.4. It is unlawful to provide false or misleading information such as vehicle number, or to fraudulently obtain information regarding the credit /debit card belonging to others and/or without the consent of the cardholder. Any parties engaged in illegal activities involving the use of WattsWhere may be subject to prosecution. The Company does not guarantee that the Company will be able to prevent any illegal or inappropriate use of WattsWhere or will give notice of any illegal or inappropriate use of WattsWhere.

6. CHANGE OF WATTSWHERE AND CESSATION OF OPERATIONS

The Company reserves the right to change or correct any errors or omissions in WattsWhere, and to alter, limit or discontinue the provision of any of the services provided via WattsWhere, at any time without prior notice to you. The Company will use reasonable efforts to include up-to-date and accurate information in WattsWhere, but it reserves the right to delete, modify, or supplement the content of WattsWhere at any time for any reason without prior notification.

7. THIRD PARTY LINKS AND ADVERTISEMENTS

7.1. WattsWhere may contain links to other websites. The Company makes no representations or warranties as to the content, privacy practices and other practices of any websites operated by a third party and the Company does not assume responsibility for the content or practices of such websites. You should check the terms and conditions and privacy policies for all third-party websites you visit to understand their procedures.

7.2. If you use any material, or visit any linked website, you do so at your own risk, and it is your responsibility to take all protective measures to guard against viruses or other destructive material. The Company does not endorse and is not responsible for the use of, or the content of, any third-party

websites. The Company is not responsible for anything that may happen when you use them.

8. INTELLECTUAL PROPERTY

8.1. WattsWhere content is protected by copyright, trademark and other intellectual property rights. The Company, our affiliates, or our licensors, retain all rights in such content. You are only permitted to access and use WattsWhere for personal purposes. You may not use WattsWhere, or any of its content, to further any commercial purpose, including any advertising or advertising revenue generation activity on your own website. You may not modify, copy, distribute, transmit, display, perform, reproduce, publish, license, commercially exploit, create derivative works from, transfer, or sell any content or software contained within WattsWhere.

8.2. The Company is not responsible for any error or inaccuracy in any advertising or sponsorship material on WattsWhere.

9. USER CONDUCT

You agree to comply with all legal requirements of the jurisdiction in which you are located with regard to your use of WattsWhere, and you acknowledge that you are entirely responsible for ensuring your own familiarity with such requirements and your own compliance with the same.

10. DISCLAIMER OF WARRANTY

10.1. WattsWhere and its content are provided on an “as is” and “as available” basis. The Company, its parents, subsidiaries, affiliates, and their respective suppliers, and any of their owners, officers, directors, managers, members, agents, and employees, expressly disclaim (to the fullest extent permitted by applicable law) any and all express, implied, and statutory warranties, including, without limitation, any warranties of merchantability, fitness for a particular purpose, freedom from computer virus, title, and non-infringement of proprietary rights.

10.2. We do not guarantee uninterrupted or error-free operation of WattsWhere or any portion of it.

11. LIMITATION OF LIABILITY

11.1 To the maximum extent permissible by applicable law, the Company, its parents, subsidiaries, affiliates, and their respective suppliers, and any of their owners, officers, directors, managers, members, agents, and employees:

a. are not liable for any direct, indirect, punitive, incidental, special, or consequential damages or loss (including, without limitation, incidental and consequential damages, lost profits, or damages resulting from lost data or business interruption) arising out of, or in way connected with, the use or inability to use WattsWhere and its content, whether based on warranty, contract, tort (including negligence), or any other legal theory, and whether or not company is advised of the possibility of such damages; and

b. exclude any and all liability for damages caused by, any problems or technical malfunction of any telephone network or lines, computer online systems, servers or providers, computer equipment, software, failure of any communications due to technical problems or traffic congestion on the internet or on WattsWhere or combination thereof, including any injury or damage to any users or to any person’s computer related to or resulting from use of WattsWhere.

11.2 Where it is not possible to exclude liability under applicable law, you agree that the Company’s maximum liability for any corresponding claim shall be limited to an amount of AED 100.

12. INDEMNITY

You agree to hold harmless and indemnify the Company, its parents, subsidiaries, affiliates, and their respective suppliers, and any of their owners, officers, directors, managers, members, agents, and employees, from and against any claims, liabilities, suits, judgments, litigation costs, causes of action, demands, recoveries, losses, damages (actual and consequential), fines, penalties, and attorneys’ fees or other costs or expenses of any kind or nature arising from or in any way related to your use of WattsWhere, including, but not limited to those brought by you or on your behalf in excess of the liability described above, or by third parties as a result of your breach of these Terms, your violation of any law or the rights of a third party, or your use of WattsWhere.

13. ENTIRE AGREEMENT

These Terms (as amended from time to time in accordance with its terms) set out the entire understanding and agreement between you and the Company with respect to the use of WattsWhere.

14. TERMINATION

The Company may terminate or suspend your access to all or part of WattsWhere, without prior notice or judicial order, if it believes that your conduct is in violation of these Terms, applicable law, or otherwise harmful to the interests of the Company or any third party. Notwithstanding such termination or suspension, you agree that you will continue to be subject to the obligations which, by their nature, survive such termination or suspension, including the obligations relating to intellectual property rights.

15. GENERAL TERMS

15.1. Relationship: None of the provisions of these Terms will be deemed to constitute a partnership or agency between you and the Company and you will have no authority to bind the Company in any manner whatsoever.

15.2. Severability: If any provision of these Terms is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable and can be deleted without altering the essence of these Terms, the invalid, illegal or unenforceable provision will be severed, and the remaining provisions will remain in full force or effect.

15.3. No Waiver: Any failure by the Company to enforce any terms set out in these Terms or other policies with you is not a waiver of the Company’s rights to enforce those terms.

16. GOVERNING LAW AND FORUM OF DISPUTE

The Terms shall be governed by the laws of Dubai, United Arab Emirates. Any dispute regarding these Terms shall be subject to the exclusive jurisdiction of the Courts in Dubai. If any portion of the Terms is held to be unenforceable, invalid or illegal by any court of competent jurisdiction, the remainder of the Terms shall not be affected.

17. USER DATA PERMISSION AND THEIR USAGE

Our app requests the following permissions to enhance user experience and provide seamless functionality. Each permission and its purpose are detailed below:

17.1. Location Access: We use your location to calculate the distance between you and nearby charging stations. This helps you easily locate and navigate to available chargers. We do not store any location information on our servers.

17.2. Photo Gallery Access: To allow users to upload a profile picture for a personalized experience. To enable attaching images when reporting issues with chargers. To share photos while reviewing charging locations and stations.

17.3. Camera Access: We require access to your device’s camera to scan QR codes on chargers. This functionality enables users to start the charging process quickly and efficiently.

17.4. Push Notifications: Notifications are sent to provide updates such as charging status, important announcements, or reminders related to charging activities.

17.5. App Tracking Transparency (Apple Devices Only): We collect anonymous data to analyze how users interact with the app. This helps us identify the most frequently used features and improve the app accordingly to enhance user experience.
